PLEASE READ THE FOLLOWING DISCLOSURE CAREFULLY PRIOR TO ANY TRANSACTION PARTICIPATION. Power Motor Group, Inc DBA 109 Certified operates a proprietary dual-model digital and physical checkout platform via bidsales109.com, 109certified.com, and our physical showroom facility. Power Motor Group, Inc. DBA 109 Certified is a licensed motor vehicle dealership registered, bonded, and regulated within the State of New York. By utilizing our websites, contacting our facility, or interacting with our vehicle listings on any third-party automotive advertising network, you explicitly acknowledge and agree to the following pricing mechanics: Third-Party Advertising Is an Opening Bid Only: Any price displayed by Power Motor Group, Inc. on third-party marketing networks (including but not limited to CarGurus, Cars.com, Autotrader, TrueCar, and social media marketplaces) represents a Starting Minimum Auction Opening Bid Only. It is not an immediate, fixed, or guaranteed "Buy-It-Now" retail offering price. Dual-Channel Bidding Options (In-Person or Digital): Bidding on all active inventory is completely open to the public and can be executed either in person at our physical dealership facility located in Lindenhurst, NY, or digitally via our online bidding portal at bidsales109.com. Both physical and digital bids enter the exact same live inventory pool in real time. The 60-Day Rolling Auction Window: All advertised auction inventory is subject to an active, rolling sixty (60) day digital and physical auction cycle. No vehicle will be sold, contracted, or released at the advertised opening bid price prior to the official 60-day auction closing date, unless a buyer executes an active, higher competitive bid or selects the separate, explicit "Buy It Now" retail checkout option. Conditional Right of First Refusal at Auction Close: If a vehicle fails to receive higher competitive bids or a "Buy It Now" execution during its 60-day cycle, and the highest active bid at the end of the 60 days matches the original opening bid price, the Company may contact that highest bidder to finalize the transaction at that price. "Buy It Now" Price Transparency: If a vehicle is listed on our platform with an active "Buy It Now" option, the price displayed is the full, transparent, upfront retail offering price for that vehicle. In strict compliance with federal truth-in-advertising guidelines and FTC Section 5 guidelines, this "Buy It Now" price is the actual amount any consumer can pay to buy the vehicle, excluding only mandatory government charges. Dealership Right of Cancellation & Force Majeure: The Company reserves an absolute, unconditional right to cancel any opening bid, auction transaction, or "Buy It Now" availability at any point during or at the conclusion of the 60-day cycle if an unprecedented or intervening event occurs. This includes, but is not limited to: vehicle theft, lot accidents, newly discovered mechanical defects, frame or structural anomalies, or severe weather damage that alters the vehicle's roadworthiness, safety profile, or physical condition. Strict $0.00 Fee Policy: Power Motor Group, Inc DBA 109 Certified proudly charges $0.00 in Documentation Fees, $0.00 in electronic filing fees, and $0.00 in dealer preparation or dealer certification fees. There are absolutely no hidden fees, pre-checked add-ons, or mandatory forced accessory packages added to any invoice. Final contract figures exclude only mandatory government charges (local sales tax, DMV title registration fees, and license plate transfer costs) calculated strictly based on the Buyer's verified residential or corporate registration address at final checkout. Condition & Live Stream Accessibility: To review full physical condition disclosures, examine available history profiles, view complete auction rules, or participate directly in the live bidding process for any vehicle in our active inventory, please visit our official live portal at bidsales109.com. For additional transactional information, please contact an authorized dealership manager in person at our Lindenhurst, NY facility. Section 4.2: Designation of Promotional Vehicles vs. Standard Auction Inventory In accordance with our dual-model digital and physical checkout platform, all vehicles displayed across Power Motor Group, Inc. marketing networks, including but not limited to bidsales109.com, 109certified.com, and third-party advertising networks, are classified fundamentally as rolling sixty (60) day public auction inventory. Online displayed prices represent a Starting Minimum Auction Opening Bid Only. Immediate Baseline Purchase Exceptions ("Promotional Vehicles"): From time to time, the Company may explicitly designate certain inventory units as "Promotional Vehicles" or "Instant Inventory Clearance" items. Only vehicles bearing a clear, distinct visual tag or explicit text designation marking them as "Immediate Baseline Eligible" may be contracted and purchased on the spot at the baseline opening bid price prior to the completion of a 60-day auction cycle. Standard Inventory Requirements: Any active inventory vehicle lacking an explicit promotional designation cannot be purchased immediately at the opening bid price. Immediate checkout for standard inventory requires the execution of the transparent "Buy It Now" retail offering price. The Company retains absolute discretion over promotional designations, inventory adjustments, and the unconditional right of cancellation pursuant to Section 5 (Force Majeure/Condition Anomalies) of our master transactional disclosure.
